Client Terms & Conditions

Last updated: August 31, 2026

These Terms apply to the services listed in this invoice. "Gateway" means the business identified as the service provider on the invoice. "Client" means the person or business being billed.

1. Agreement

The invoice states the service, fees, taxes, and billing details. These Terms govern the service relationship.

By paying the invoice, Client confirms that it received and accepted these Terms and that the person making the payment is authorized to act for Client.

Any different custom or enterprise terms must be clearly stated in the invoice or another written agreement accepted by both parties.

2. Fees and Billing

Unless the invoice states otherwise, the standard Patient Bridge fees are:

Gateway may waive the setup fee under a written promotion, including the current 48-hour offer. A waiver applies only if it appears on the invoice and Client meets the stated conditions.

Client must make the required initial payment before onboarding, building, or setup begins.

Monthly fees are paid in advance at the start of each service month. A monthly fee paid before activation is a prepayment for the first service month. The first service month normally begins on the actual activation date. That date becomes the regular monthly billing date.

Payments are non-refundable except where the law requires otherwise.

3. Activation and Client Cooperation

Client must promptly provide all information, content, approvals, credentials, permissions, and system access reasonably needed to build, activate, and operate the service. Client must make sure that everything it provides is accurate and lawfully usable.

Gateway is not responsible for delays if Client prevents activation or fails to provide needed information.

If Client does not provide the requirements within 30 calendar days after Gateway's first written onboarding request, Client loses the first month's prepaid fee. That payment becomes non-refundable because Gateway reserved capacity and performed or prepared to perform onboarding work.

Gateway may close the onboarding project after that period. A new payment or additional charge may be required before work resumes.

4. Included Service and Changes

Only the service, clinic, branch, channels, and expressly confirmed features identified in the invoice are included.

Additional branches, channels, integrations, features, revisions, custom development, or other material changes may require additional fees and more time. Gateway will not be bound by verbal promises or descriptions that are not confirmed in writing.

5. Technology, AI, and Outside Platforms

Client understands and accepts that technology and artificial intelligence can make mistakes. AI-generated messages or information may be incomplete, inaccurate, delayed, unavailable, or inappropriate.

Gateway provides the service using reasonable efforts. Gateway does not promise uninterrupted or error-free operation. Integrations, calendar syncing, messaging, and other functions may depend on technical compatibility, internet services, and outside platforms whose features, rules, prices, or availability may change.

Client assumes the ordinary and disclosed risks of using an AI-assisted service. Client must maintain reasonable human oversight and review important communications before relying on them.

Patient Bridge does not provide dental, medical, or other professional advice. It must not be relied upon for emergencies, diagnoses, treatment decisions, complaints requiring professional judgment, or other matters that should be handled by clinic personnel.

To the extent allowed by law, Gateway is not responsible for losses caused by:

Nothing in these Terms excludes liability that cannot legally be excluded.

6. Privacy and Client Data

Each party must protect personal information and comply with the privacy laws that apply to it.

Client is responsible for having a lawful basis to collect, use, and provide information to Gateway. Client must provide required privacy notices and obtain any required permissions or consent. Client should not provide unnecessary patient, health, or other sensitive information.

Gateway may process information as reasonably needed to provide, secure, maintain, and support the service. Gateway may use approved service providers for this purpose.

If the service involves patient or other sensitive information, Client agrees to complete any additional privacy, security, or data-processing documentation reasonably required by Gateway or applicable law.

Client is responsible for claims, costs, or losses caused by Client's unlawful data, content, instructions, or use of the service.

7. Cancellation

The service is month-to-month with no minimum term.

Client may cancel by giving Gateway at least 30 calendar days' written notice through the contact method stated on the invoice or another method designated by Gateway.

The 30-day period begins when Gateway receives the notice. Stopping use, removing access, or failing to pay does not count as cancellation.

Service and billing continue during the notice period. If the cancellation date falls between regular billing dates, Gateway will issue a final advance invoice prorated from the last billing date through the cancellation date.

Payments already made remain non-refundable.

8. Missed Payments and Suspension

A payment is late beginning on its due date.

Gateway will send a warning if payment remains unpaid after five calendar days. Gateway may suspend the service if payment remains unpaid after ten calendar days.

Suspension does not cancel the service, extend the cancellation period, or erase amounts already due. Billing may continue while the service is suspended because of Client's nonpayment or failure to cooperate.

Gateway may terminate the service if payment remains unpaid for 30 calendar days. Before restoring a suspended service, Gateway may require payment of all overdue amounts and any reasonable restoration or collection costs.

9. Ending the Service

Gateway may suspend or end the service immediately if Client:

For other material breaches, Gateway may give Client a reasonable opportunity to correct the problem before ending the service.

Termination does not cancel unpaid fees or obligations that arose before termination.

10. Ownership

Client keeps ownership of its original content, branding, and client-supplied data.

Gateway and its licensors keep ownership of their software, systems, methods, prompts, templates, workflows, configurations, processes, documentation, and technology. Client receives only a limited right to use the service while the subscription is active and paid.

Unless the invoice expressly says otherwise, Client does not acquire ownership of Gateway-created systems, workflows, platform accounts, phone numbers, software licenses, or technical configurations.

Outside platforms remain subject to their own terms and ownership rules.

11. Data After Termination

Client is responsible for retrieving any available data it needs before or shortly after the service ends.

Gateway may delete or anonymize remaining Client data 60 days after termination unless the law requires or permits a different retention period. Some information may remain temporarily in secure backups or be kept for billing, security, legal compliance, or dispute purposes.

Gateway does not guarantee that every outside platform can export data or provide it in Client's preferred format.

12. No Guaranteed Results

Gateway does not guarantee any number of inquiries, responses, bookings, appointments, patients, sales, revenue, savings, conversions, or other business results.

Results depend on factors outside Gateway's control, including Client's staff, pricing, availability, follow-up, services, reputation, market conditions, patient decisions, and outside platforms.

Client remains responsible for its business, clinical, operational, and patient-care decisions.

13. Limitation of Liability

To the extent allowed by law, Gateway will not be liable for lost profits, lost revenue, lost opportunities, loss of goodwill, indirect loss, or consequential damages.

Gateway's total liability for all claims connected with the service will not exceed the monthly subscription fee actually paid for the last service month before the event giving rise to the claim. VAT, setup fees, outside-platform charges, and reimbursable expenses are excluded from this limit.

For a claim arising before activation, the limit is the first month's prepaid subscription fee.

This is one total limit for all related claims, not a separate limit for every allegation. It does not limit Client's obligation to pay fees, Client's responsibility for unlawful content or data, or liability that cannot legally be limited.

14. Changes

Gateway may change its prices or these Terms by giving Client at least 30 days' written notice.

A material change takes effect on the first regular billing date after the notice period. Client may cancel under Section 7 if it does not accept the change. Continuing to use or pay for the service after the change takes effect means Client accepts it.

15. Disputes and Governing Law

The parties will first try in good faith to resolve any dispute directly.

These Terms are governed by Philippine law. If court action becomes necessary, it must be filed in the proper courts of Quezon City, Philippines.

If any part of these Terms is found unenforceable, the remaining parts will continue to apply. Provisions concerning unpaid fees, privacy, ownership, liability, data handling, and disputes continue after the service ends.
